Terms of Service

Read and understand these Terms before using the System, especially the limitations of liability, governing law, and dispute-resolution provisions. Do not use the System if you do not agree to these Terms.
1. Acceptance of these Terms
These Terms form an agreement between you (the "User") and the operator of this System ("we," "us," or the "Platform") governing your use of the retail inventory management service.
You accept these Terms by doing any of the following:
- Selecting "Agree" or "I have read and agree to the Terms of Service."
- Registering an account.
- Using the System.
2. Service description
2.1 Service features
The service includes, but is not limited to:
- Product management: product records, categories, and inventory.
- Sales management: new sales, payment records, and sales reporting.
- Customer management: customer records, points, and store credit.
- Reporting: sales, inventory, and profit analysis.
- Other features made available under the applicable subscription plan.
2.2 Service changes
We may modify, suspend, or discontinue part or all of the service without prior notice. We will provide 30 days' advance notice of material changes where reasonably practicable.
3. Account management
3.1 Registration
- You must provide registration information that is truthful, accurate, and complete.
- You must keep your registration information current.
- You are responsible for the security of your account and password.
3.2 Account security
- Protect your credentials and do not disclose them to another person.
- Notify us immediately if you believe your account has been compromised.
- You are responsible for actions performed through your account.
3.3 Account closure
You may request account closure at any time. After closure:
- Your personally identifying information will be anonymized.
- Transaction records will be retained for ten years where required by law.
- Customer store credit will be cleared; use any remaining credit before closure.
- Points will be cleared and cannot be restored.
4. Acceptable use
4.1 Prohibited conduct
You must not use the System to:
- Upload or publish content that violates applicable law.
- Infringe another party's intellectual property or trade secrets.
- Commit fraud, money laundering, or another unlawful act.
- Attack the System or attempt to bypass its security controls.
- Use unauthorized software, extensions, or tools to manipulate the service.
- Create accounts in bulk or fabricate transactions.
- Interfere with the normal operation of the System.
4.2 Enforcement
If you violate these requirements, we may:
- Issue a warning.
- Restrict access to features.
- Suspend or terminate the account.
- Pursue available legal remedies.
5. Customer store credit and points
5.1 Customer store credit
- Balance limit: the balance on a single customer account must not exceed CNY 5,000, in accordance with prepaid-card requirements.
- Use: store credit may only be used for purchases recorded in the System and cannot be redeemed for cash.
- Validity: store credit remains valid from the date it is added.
- Refunds: see Section 6.
5.2 Customer points
- Earning points: points may be earned through purchases under the applicable loyalty-tier rules.
- Using points: points may be used only for eligible discounts and cannot be transferred or redeemed for cash.
- Validity: points expire one year after they are earned.
- Rule changes: we may revise the points rules.
6. Refunds
6.1 Refunds of customer store credit
You may request a refund of customer store credit if:
- The account is in good standing and is not frozen or disabled.
- You provide proof of identity.
- The refund can be returned to the original payment method within 7 to 15 business days.
- Any applicable fee imposed by the payment provider is paid.
6.2 Subscription refunds
Subscription fees are refunded under the following rules:
- An unused subscription may be refunded without cause within seven days of purchase.
- After seven days, a refund is calculated in proportion to the unused subscription period.
- Subscriptions purchased at a promotional price are non-refundable.
7. Intellectual property
7.1 Platform intellectual property
We own or license the intellectual property in the System, including its software, text, images, trademarks, and branding. You may not copy, modify, distribute, or use these materials commercially without permission.
7.2 User content
You retain the intellectual property rights in product information, images, and other content you upload. You grant us the limited right to use that content only as necessary to provide the service.
8. Disclaimers
8.1 Service interruption
We are not responsible for an interruption caused by:
- System maintenance or upgrades, for which we will provide advance notice where practicable.
- Events beyond reasonable control, such as natural disasters, war, or government action.
- A failure of a third-party service, such as a cloud provider or payment gateway.
- A telecommunications or network failure.
8.2 Data loss
We provide system backup and business-data export tools, but no system can eliminate every risk of data loss. Data may be unrecoverable after:
- Deletion by a user.
- Data loss caused by an event beyond reasonable control.
- A cyberattack or malware infection.
Recommendation: export important data regularly and retain a local backup.
8.3 Indirect loss
We are not liable for indirect loss, lost profit, lost goodwill, or similar loss arising from use of, or inability to use, the System.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising from your use of the System will not exceed the service fees you paid during the 12 months preceding the event giving rise to the claim.
10. Changes to these Terms
We may revise these Terms. We will notify you of material changes through one or more of the following:
- A notice in the System.
- An email.
- A notice displayed when you sign in.
Revised Terms take effect when published. Continued use of the System constitutes acceptance of the revised Terms. Stop using the System if you do not agree to the revision.
11. Governing law and disputes
11.1 Governing law
These Terms and disputes relating to them are governed by the laws of the People's Republic of China.
11.2 Dispute resolution
The parties should first attempt to resolve any dispute arising from these Terms through good-faith consultation. If consultation does not resolve the dispute, either party may bring proceedings before a court with jurisdiction where the System operator is located.
12. Other terms
12.1 Entire agreement
These Terms and the Privacy Policy constitute the entire agreement between you and us and replace prior oral or written agreements concerning the service.
12.2 Severability
If any provision is held invalid or unenforceable, it will be interpreted to the maximum extent permitted by law, and the remaining provisions will continue in effect.
